01Agreement to these terms
These Terms of Use ("Terms") are an agreement between you and TSM Assistants ("TSM Assistants," "we," "us," or "our"). They govern your use of our public website and the TSM Assistants service (together, the "Service"). By using the Service, you agree to these Terms.
If you use the Service on behalf of a team, brokerage, or other organization, you represent that you are authorized to accept these Terms for that organization, and "you" includes that organization.
02Development status of the Service
The Service is under active development. Features described on our website may be planned rather than currently available. Any early-access, preview, or beta version is provided for evaluation, may contain errors, and may change or be discontinued.
Integrations with third-party platforms, including transaction-management platforms such as Dotloop, are not currently available. An integration will be offered only after it has been built, tested, and authorized by the platform provider, and we will announce it when it becomes available.
03Accounts and account responsibilities
- You must be at least 18 years old and able to form a binding contract to use the Service.
- You must provide accurate information and keep it up to date.
- You are responsible for safeguarding your sign-in credentials and for all activity under your account.
- You must notify us promptly of any unauthorized use of your account.
- Organization administrators are responsible for managing who has access to their organization's workspace and what each member is permitted to do.
04Your content and data
You keep ownership of the information, documents, and other content you submit to the Service ("Your Content"). You grant us a limited license to host, store, process, transmit, and display Your Content only as needed to provide, secure, and support the Service, and as described in our Privacy Policy.
You represent that you have all rights, consents, and authority needed to submit Your Content, including personal information about your clients and other parties, and that your use of the Service complies with the laws, regulations, and brokerage policies that apply to you.
05Acceptable use
You agree not to:
- Use the Service for any unlawful, fraudulent, or deceptive purpose.
- Use the Service in a way that violates fair housing, anti-discrimination, consumer protection, privacy, or real estate licensing laws.
- Submit content you do not have the right to submit, or that infringes another person's rights.
- Attempt to access another organization's data, or to bypass security, permission, or approval controls.
- Upload malware, or interfere with or disrupt the Service or its infrastructure.
- Reverse engineer, scrape, or copy the Service, except as permitted by law.
- Resell or provide the Service to others without our written permission.
06AI-generated outputs and human review
The Service uses automated systems, including AI models, to extract information, flag issues, suggest forms, draft content, and propose actions ("Outputs"). Outputs may be inaccurate, incomplete, outdated, or unsuitable for your situation.
- You must review every Output before relying on it, sending it, or allowing it to be used in a transaction.
- The Service may flag missing or conflicting information, but it will not identify every issue, and the absence of a flag does not mean information is complete or correct.
- Approving a proposed action is your decision, and you are responsible for the actions you approve.
- The AI assistant is not a lawyer and does not exercise professional judgment. It does not guarantee that any contract, form, or document is legally accurate, complete, enforceable, or appropriate for your transaction.
07Documents, forms, and accuracy
You are solely responsible for the accuracy and completeness of all transaction information and documents, for choosing the appropriate forms, for compliance with the requirements of your state, local association, and brokerage, and for obtaining review by your broker, an attorney, or other qualified professional where appropriate.
Before any document is signed, sent, or relied on, you must review it in full. We do not guarantee that any form, template, or document is current, correct, complete, legally sufficient, or appropriate for a particular transaction or jurisdiction.
08No legal, tax, or professional advice
TSM Assistants is a software tool. We are not a law firm, real estate brokerage, title or escrow company, lender, or tax advisor, and the Service does not provide legal, tax, financial, or real estate advice. Use of the Service does not create an attorney-client, fiduciary, or agency relationship. All transaction decisions — including pricing, terms, contingencies, deadlines, and which documents to use — remain the responsibility of you, your clients, and your brokerage. Consult a licensed professional for advice about a specific situation.
09Third-party services and integrations
The Service may let you connect or interact with third-party services. Your use of those services is governed by their own terms and privacy policies. We do not control and are not responsible for third-party services, and we may be unable to continue an integration if a third party changes or ends access.
References to third-party products or platforms, including Dotloop, do not mean we are affiliated with, endorsed by, or partnered with them. Third-party names are trademarks of their respective owners.
10Intellectual property
The Service, including its software, design, and content (other than Your Content), is owned by us or our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms.
If you send us feedback or suggestions, we may use them without obligation to you.
11Fees
We do not currently charge for the Service. If we introduce paid plans, pricing and payment terms will be presented to you before you are charged.
12Service availability and changes
We do not guarantee that the Service will be available at all times or free of errors. The Service may be interrupted for maintenance, updates, or reasons outside our control. We may add, change, or remove features at any time. You are responsible for keeping your own copies of documents and records you need.
13Suspension and termination
You may stop using the Service at any time. We may suspend or end your access if you violate these Terms, if your use creates risk for us, other users, or third parties, or if we discontinue the Service. Where reasonable, we will give notice and an opportunity to export Your Content. Sections that by their nature should survive termination will survive.
14Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.
15Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST COMMISSIONS, LOST DATA, OR FAILED OR DELAYED TRANSACTIONS, ARISING FROM YOUR USE OF THE SERVICE OR ANY OUTPUT. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.
16Indemnification
You agree to defend and indemnify us against claims, losses, and expenses (including reasonable attorneys' fees) arising from Your Content, your transactions, your violation of these Terms, or your violation of any law or third-party right.
17Governing law and disputes
If you have a concern about the Service, please contact us first at support@tsmassistants.com so we can try to resolve it informally. The governing law and venue for disputes will be specified in an updated version of these Terms before the Service is offered commercially. Nothing in these Terms limits rights you have under laws that cannot be waived by contract.
18Changes to these Terms
We may update these Terms as the Service develops. When we make material changes, we will update the effective date and, where appropriate, notify you before the changes take effect. Continuing to use the Service after changes take effect means you accept the updated Terms.
